Terms & Conditions

These Terms and Conditions (from now on referred to as “Terms”, “Agreement“, and “Terms and Conditions”) is a digital agreement between you (from now as “you” or “your” and “User”) and UAB Orange stream, an entity duly incorporated under the laws of Lithuania, with the registration number 305741839 and its affiliates (from now on “we”, “us”, “Orange stream”), that applies to your use of this website, the platform, all the services, or content entrenched into the website in question. The governing laws of the website are the laws of Lithuania.  

By getting used to the present Terms and Conditions, you agree that you have fully read, understood and accepted the Terms provided herein and that you give your consent to us to the collection, processing and storage of specific personal data about you (as prescribed in the Privacy Policy). 

The Company reserves a right to unilaterally amend, modify, update and change any of the provisions of the Terms & Conditions, including without limitation as a result of legal and regulatory changes, security reasons or changes to the Services. 

Orange stream reserves a right to unilaterally change the content of the present Agreement without a prior given notice to the User. 

Your continued use of the Services following the publication of any changes will be deemed as an acceptance of these Terms and Conditions as amended. 

Please, read these Terms carefully before using our services. By accessing or using Orange stream, You agree to comply with these Terms and other policies and notices, including any future сhanges. If You do not agree to these Terms of Use and other connected policies and notices, do not use Orange stream’s software, services, products and content. 

The User is solely responsible for understanding and complying with any and all laws, rules and regulations of his/her specific jurisdiction that may be applicable to the User in connection with the use of any and all services, products and content of Orange stream.  

You certify that You are an authorized representative of the legal entity or an individual over the age of 18 and are authorized to enter into this Agreement. Orange stream’s services are intended solely for use by individuals over the age of 18 or by legal entities. The use of Orange stream by minors is prohibited, and we are not responsible for any consequences resulting from the use of Orange stream by minors. 

We do not provide investment or consulting advice of any kind, and are not responsible for the use or interpretation of information on Orange stream or any other communication medium. All Users of Orange stream must understand the risks involved in virtual assets trading and is recommended to exercise prudence and trade responsibly within its own capabilities. You should be aware that the risk of loss in trading or holding Digital Currencies can be high. Digital currency services are not currently regulated in most countries (by financial authorities or any other regulator). You should therefore carefully consider whether trading or holding Digital currencies is suitable for you in light of your financial condition and possible risks.

1. List of terms 

1.1. Affiliate: means a legal entity and/or individual which has legal relations with Orange stream being its partner/provider. 

1.2. Orange stream means the software that provides all services listed in this Terms of Use. Orange stream website www.cryptoorange.lt 

1.3. Virtual Assets (Digital Assets) means digital currency and/or tokens that (as a rule) have no central issuer and are distributed directly between the owners of such currency and tokens, designed to work as a medium of exchange that use strong cryptography to secure Transactions, control the creation of additional units, and verify the transfer of assets (e.g. BTC, ETH, LTC etc.). 

1.4. User Account means a personal or a corporate account, registered by a User to access Services. 

1.5. AML Policy means rules of conduct aimed at the prevention of money laundering and terrorism financing, developed by the Company in accordance with the Applicable Law, which construes an integral part of the Terms. 

1.6. Commission: means a fee charged by or on behalf of any third party (e.g. bank, non-bank financial institution, payment service provider, etc). 

1.7. “Law” means all applicable laws, regulations, orders and rulings, interpretations and statements of policy of any Governmental authority, authority, agency or body, which in an appropriate case has jurisdiction over Orange stream, the User, or their operations. 

1.8. “Order” means the User’s offer on the Platform to buy (acquire), to sell (alienate) or to exchange Digital assets on certain conditions. 

1.9. “Platform” means Orange stream’s Platform, designated for exchange/trading of Digital assets, accessible by User via the Website and/or mobile application and/or via other means, specifically created by Orange stream for that purpose (if applicable). 

1.10. Services: means all and any service provided by Orange stream 

1.11. User (you) – a natural person or legal entity, which uses the Orange stream. 

1.12. Fiat money means currency issued by the government, designated as legal tender at the legislative level in the country of issue and suitable for exchange with each other. 

1.13. “Funds” means Fiat money and/or Digital assets, which are placed into the Account and used during the execution of Transactions. 

1.14. Transaction fee: means a fee which is payable to Orange stream for each completed Transaction. 

1.15. “Third-party provider” means a third-party software, information and/or technology provider, whose products, information or services might assist Orange stream in providing the Services to the User. 

1.16. “Transaction” means a transaction of Funds entered into (and/or executed, completed, closed, etc.) through the Platform. 

1.17. Request – means an expression of Your intention to use one of the services offered by the Orange stream, by filling in the electronic form in Orange stream, on the terms described in this Agreement and specified in the parameters of the Request itself. 

2. Services

2.2. Orange stream provides services through these operating entities: 

2.2.1. Exchange services from Virtual Assets to Fiat assets and vice versa, deposits, exchanges or transfers and other transactions between Virtual assets and all other services, unless otherwise provided for in the Terms, are provided by UAB Orange stream (a company registered in Lithuania, code 305741839); 

2.3. The User acknowledges and agrees that, when completing Trading Transactions, he/she is trading with other Users, and that Orange stream acts only as a provider of technical services (the Platform and/or Orange stream Software) in such Transactions, not as the counterparty to any Trade. 

2.4. In accordance with this Agreement, Orange stream, in particular, provides the following Services to the Users: 

  • access to the Platform to store and exchange the Digital assets; 
  • access to the Website, as well as to the Account; 
  • access to the information necessary to use the Platform and to perform Transactions; 
  • access to the payment services operator and/or payment service provider services, necessary to perform Transactions, Deposits and Withdrawals. 

2.5. Based on this Agreement, Orange stream may also provide other services, which are defined in this Agreement and/or will be available on the Website or on the Platform. 

2.6. The User understands and agrees that Orange stream is not a party of Transactions (unless otherwise is stipulated by this Agreement related to a certain specific Services) and does not provide Fiat money financial services. All operations on the Platform are performed directly between the Users. The financial services related to Fiat money are rendered by third-party financial institutions. Notwithstanding the foregoing, in order to perform security, AML/CFT and monitoring checks, Orange stream may administer the payment information required to perform the Deposit, Withdrawal or other Transactions. 

2.7. Subject to Applicable Law, we reserve the right to suspend, restrict or terminate Your access to any or all of our Services and to suspend, restrict or deactivate Your User Account, including without limitation: 

2.7.1. where it is our reasonable opinion that we are required to do so by Applicable Law or any court or other adjudicating authority to which we are subject in any jurisdiction; 

2.7.2. upon reasonable suspicion that You may be in breach of these Terms or are otherwise trying to circumvent these Terms such as abusing any of our incentive schemes; 

2.7.3. upon reasonable suspicion that a transaction is fraudulent; 

2.7.4. upon reasonable suspicion that Your User Account has been compromised or the Services are being used in a fraudulent or unauthorized manner; 

2.7.5. upon reasonable suspicion of money laundering, terrorist financing, fraud or any other financial crime; or 

2.7.6. upon reasonable suspicion that You are conducting any fraudulent or illegal activities. 

3. Time of entry into force. Amendments 

3.1. As soon as You click “Agree”, the Terms will enter into force.  By this, You certify that You have read and agreed with these Terms, Privacy Policy, AML Policy and other policies and notices as well. 

3.2. We have the right to change, update these Terms at any time and without prior notice. 

3.3. Any such changes will be effective upon posting on the website. The effective date at the top of the Terms informs you of the latest version of the Terms. 

3.4. With each subsequent visit to the Website before using the User’s Account, the User shall familiarize himself/herself with a new version of the above documents. Continued use of the Website and/or the Platform, through the User’s Account, will mean the User’s acceptance of the terms and conditions of a new version of the mentioned above documents. 

3.5. Your continued use of Orange stream constitutes your acceptance of Terms, Privacy Policy, AML Policy and other policies and notices as well as all changes. If you do not agree with these Terms, Privacy Policy, AML Policy and other policies and notices and all  changes, , the User must stop using the Website and the Platform, including by closing all incomplete Transactions with Orange stream. 

4. User Account 

4.1. In request to use all functions of Orange stream, You have to register a User Account and pass through the identification procedure (KYC). When registering a User Account you agree to provide required personal information for identity verification. Such information will be used to verify Users’ identity. 

4.2. The User has to go through all the registration procedures and provide to Orange stream all necessary information (including necessary Personal data, information, necessary for verification/KYC), as well as accept terms and conditions of this User Agreement (including AML/CFT Policy, Privacy Policy, Fees). 

4.3. Orange stream may refuse registration and creation of Account at its discretion. 

4.4. The User hereby undertakes to promptly, but not later than 10 calendar days from the date of any change or update of the provided information, notify Orange stream of the following:  

  • any updates, changes, and modifications of the information, that was submitted during the KYC identity verification/compliance procedure; 
  • any updates, changes, and modifications of the data provided during the additional onboarding compliance procedure for the corporate Account related to the relevant legal entity/organization (KYB), encompassing alterations in corporate structure, ownership, status, or other significant entity/organization changes; 
  • any pertinent changes to the User’s own personal and other associated data. 

 

4.5. The User expressly acknowledges and accepts his sole liability and responsibility for any potential damages that may result from their failure to fulfill these obligations. 

4.6. When registering an Account, You warrant that all information, submitted by You is accurate, valid, up-to-date, and complete. The Company may at any time request You to provide additional documents and information and/or updated documents and/or information and documents submitted before and reserves the right to do so at its sole discretion. Failure to abide by these requirements may result in temporary or permanent cessation of Services provision and/or Account suspension. 

4.7. You may create Your unique User Account name (nickname). If a nickname violates copyrights or other rights of Third Parties, or  the legislation, we have the right to refuse to register a User Account with this nickname. 

4.8. By signing up to use Orange stream Services, You represent and warrant that: 

4.8.1. You are at least 18 years old or are of legal age to form a binding contract under applicable laws (for individuals); 

4.8.2. You have the capacity to enter into a legally binding contract and use the Website, and are not prohibited to do so and use the Services by the Applicable Law or any other laws that may apply; 

4.8.3. You have not been previously suspended or removed from using Services; 

4.8.4. You do not currently have an Account; 

4.8.5. Your use of Services will not violate any and all laws and regulations applicable to You, including but not limited to regulations on anti-money laundering, anti-corruption, and counter-terrorist financing etc.; 

4.8.6. You are residing or incorporated in countries and territories we support and are not a citizen and/or resident of any country which are included in the sanctions lists. 

4.9. You can have only one User Account. You are not allowed to create more than one User Account in Orange stream. You can open one or more subaccounts under the main User Account. 

4.10. Any User may be denied to provide the Service at our discretion in case of any suspicion that the activities carried out by the User are aimed at money laundering, terrorist financing and any illegal activity, and / or are in any way undesirable and unsuitable for us. 

4.11. The Account may only be used by the Person, in whose name it was registered. Orange stream reserves the right to temporarily restrict the use, freeze or close the Account if there are suspicions of the use thereof by a Person, who is not the Person, in whose name the Account was registered unless otherwise agreed by the Parties in writing. The User must immediately notify Orange stream of the unauthorized use of the User’s username, password or any other attempts of unauthorized access to the Account if the User suspects or becomes aware of such unauthorized use. 

4.12. The User must ensure security measures and safety of the password and other Account details (credentials) to prevent disclosure thereof to third parties; wherein, the User independently determines the best procedure for storing such information and data and also takes measures to prevent illegal or unauthorized disclosure and use thereof. 

4.13. The User agrees to: 

  • immediately notify Orange stream if he/she becomes aware of any unauthorized use of the Account Information by any Person, as well as any other breach of the security rules; 
  • strictly comply with the mechanisms and procedures in force on the Website concerning the security rules, identity verification, Depositing, Withdrawal, Transactions of Funds; and 
  • perform the appropriate actions to exit the Website at the end of each visit. 


4.14. Orange stream is not liable for any losses or damage arising out of any unauthorized use by the User or any third party (regardless of whether it was authorized by the User for such use) of the Account using his/her login credentials (including received as a result of a phishing attack on the User). 

5. Using Orange stream 

5.1. Initiation of the Service and management of the Service process is carried out by You by creating a Request via Orange stream. 

5.2. The management of the Service process or obtaining information is carried out  by means of the corresponding user interface of Orange stream. 

5.3. Hosted Wallets Service. By providing a Hosted Wallet Service (hereinafter the Wallet Service or Wallet), we provide You with a digitally secured custodial Wallet for Virtual assets, aimed to store, transfer and make other transactions with Virtual Assets. Wallet Service provides integration between different providers and blockchain, allowing Users to perform a wide range of actions with Virtual Assets. The Wallet Service allows the use of payment methods: replenishment and withdrawal in Fiat Money. 

5.4. Deposits, withdrawals, exchanges and transfers of Virtual Assets are conducted on the basis of Requests that are placed by Users according to these Terms. These transactions may be delayed due to errors in the Blockchain networks or other unforeseen factors that are beyond our control.  We will use our best efforts to resolve the situation and conduct the transactions as quickly as possible. 

5.5. Such transactions as deposits, withdrawals, exchanges and transfers of  Virtual Assets cannot be cancelled. Once Transaction Details have been sent to the Virtual Asset Network, we cannot cancel or otherwise modify Your Transaction or Transaction Details. 

5.6. Before using the Services, You have to deposit Virtual assets to Your User Account. 

5.7. You can withdraw Virtual assets at any time at Your sole discretion subject to limits, provided there are enough Virtual Assets to cover the applicable Fees. 

5.8. You are solely liable for the accuracy of information required for carrying out a transfer, withdrawal and other transaction (i.e. addresses, tags and any other required credentials). We strongly advise You to always double-check the accuracy of information provided by You for getting Services. 

5.9. You also acknowledge that the transfer of any Virtual Assets to an incorrect address or the transfer of any type of Virtual Asset that is not supported by Orange stream will result in the irreversible loss of such Virtual Assets. We shall bear no liability for any such loss of Virtual Assets. 

5.10. Conducting transactions in Orange stream is subject to certain Fees, which may be debited from Your User Account. 

5.11. In request to prevent unauthorized use of Orange stream, You agree not to leave Your phone/device which You use to access Orange stream unattended. 

5.12. You have access to Your User Account only through the methods that You used when registering Your User Account. 

5.13. If you lose access to your phone/device or Your User Account, you must notify us immediately. Otherwise, we cannot guarantee the safety of your assets. 

5.14. If You lose Your phone/device and/or access to Your phone number and/or email address, in request to restore access to Your User Account, You should contact Orange stream Support, go through the identification process and provide all proof that the phone/device and/or phone number and/or email address belong to You. We reserve the right to deny restoration of access to Your Account in cases where the evidence provided is insufficient. 

5.15. Blockchain networks are decentralized peer-to-peer networks that are not owned, controlled or operated by us. You agree and understand that the underlying protocols of the Blockchain networks are subject to bugs, fork, hacker attacks, changes or other unforeseeable influence beyond our control which may result loss of Your Virtual Assets. We cannot be held responsible for such losses. 

5.16. We cannot guarantee that transactions sent by You to provide one of the Services will be validated on the applicable Network. You agree and understand that the transactions You send may not be validated or may be materially delayed by the relevant Virtual Currency Network used to process the transaction. 

5.17. We cannot guarantee the execution of the Request under the Initial Terms in the event that Your transaction has been delayed by the relevant Virtual Currencies network used to process the transaction. 

5.18. We provide you with a wide range of Virtual Assets. At the same time, we reserve the right to terminate support for any Virtual Asset (delisting) and notify You via the Website and Orange stream. You will have one month from the date of such notification to withdraw such Virtual Assets. In case if after the mentioned term expiry funds are not withdrawn, such funds will be irretrievably lost and will not be subject to recovery / refund / compensation to the User. 

6. Obligations and Liability 

6.1. You use Orange stream at Your own discretion and responsibility. 

6.2. You are responsible for the security of Your passwords and we cannot be held responsible for their loss by You or any unauthorized access to Your assets which may result from such loss.  We cannot be held responsible for any harm caused to You as a result of phishing attacks. 

6.3. You are responsible for any harm caused by Your actions. 

6.4. You are obliged: 

6.4.1. to be in compliance with the laws of the country in which You reside and with Your obligations under these Terms and Conditions; 

6.4.2. to provide the safety of all data required to access Your User Account; 

6.4.3. keep away unauthorized actions of Third Parties and prevent Your loss of the data required to access Your account; 

6.4.4. do nothing that may pose a threat to the normal operation of the Service; 

6.4.5. do not distribute any information and/or computer programs which contain computer viruses or other dangerous components equivalent to them; 

6.4.6. not to endanger the property, health and safety of countries, individuals and legal entities. 

6.4.7. not to engage in illegal or fraudulent operations. 

6.5. We are not responsible for: 

6.5.1. the accuracy of the data transmitted by You; 

6.5.2. interruptions or lack of access to Orange stream, if any, through no fault of ours; 

6.5.3. any act or omission by You, as well as acts or omissions by third parties; 

6.5.4. data transmission or connectivity problems, or Internet access, which are not attributable to us; 

6.5.5. infringement of Third Parties’ rights as a result of Your actions while using the Service; 

6.5.6. loss of data required to access a User Account; 

6.5.7. any damages, loss of profit, loss of revenue, loss of business, loss of opportunity, loss of data, indirect or consequential loss. 

6.6. We shall not be liable for any direct, indirect, incidental, special or punitive damages, including but not limited to damages for loss of profits, data, goodwill, business interruption, any other commercial or intangible losses resulting from: 

6.6.1. Your use of Orange stream; 

6.6.2. unauthorized access, use, or alteration of Your transactions or content, if such unauthorized access by Third Parties occurred as a result of Your actions (inaction). 

6.7. You agree to comply with all applicable laws, including but not limited to securities and financial markets laws, anti-money laundering and anti-counterfeiting laws, consumer protection laws, and financial laws. We will not be liable for any violations of law by You. 

 

7. Fees 

7.1. For Services provided on the Website and/or the Platform (and/or via mobile application) Orange stream applies the appropriate Fees. The User irrevocably authorizes Orange stream to charge (debit) applicable Fees from his/her Account. 

7.2. If the User does not perform at least one Transaction, Depositing or Withdrawing the Funds during six (6) calendar months, such User’s Account will be considered inactive (hereinafter – the “Inactive Account”). 

To all the Inactive Accounts Orange stream may apply a special fee (hereinafter – the “Inactive Account Fee”). 

Orange stream will try to preliminary notify the User about applying the Inactive Account Fee but such fee may be applied by Orange stream regardless of sending/reception of the notice from Orange stream. 

If the amount of Funds on the User’s Account is less than the amount of the Inactive Account Fee, Orange stream debits the entire balance of Funds from such Account. If the Inactive Account is empty it can be terminated (closed) by Orange stream without permission (consent) of its owner. 

8. Anti-Money Laundering, Countering Financing of Terrorism and Know Your Customer Policy. 

8.1. Orange stream takes all necessary measures and uses the best standards to comply with all the applicable laws and regulations regarding combating money laundering and/or financing of terrorism. Orange stream will use reasonable efforts to detect and prevent persons involved in any criminal activity in any jurisdiction from using the website. 

8.2. In order to avoid and reduce possible risks of involving Orange stream in any type of illegal activity, Orange stream is acting in accordance with AML/CFT policy and in conformity with an internal anti-money laundering, countering financing of terrorism and know your customer procedures (hereinafter – the “AML/CFT procedures”). 

8.3. AML/CFT policy (procedures) of Orange stream in particular covers the following matters: 

  • internal procedures;
  • KYC verification before entering a financial Business Relationship and before carrying out virtual currency exchange operations or depositing / withdrawing virtual currency with funds amounting to EUR 700 or more;
  • transactions monitoring and risk assessment, due diligence including enhanced due diligence for those customers presenting higher risks.;
  • procedures for reporting suspicious activity internally and to FCIS;
  • the Money Laundering Reporting Officer (MLRO);
  • periodical training of AML staff;
  • record keeping and data storage;
  • AML/CFT audit.

9. Sanctions policy 

9.1. If You are citizen, resident or registered in a country that is included in international sanctions lists and/or the use of the Services contradicts the laws of the country where You are resident/registered, You are not allowed  to use Orange stream. 

10. Force Majeure 

10.1. Orange stream is not liable and does not reimburse damages as a result of inadequate performance of its obligations to the client caused by force majeure circumstances. Such circumstances, include in particular: failures; equipment shutdowns or work with power supply failures; acts of God; natural and industrial accidents; acts of terrorism; military operations; civil disorders; acceptance by public authorities, acceptance of laws containing prohibitions or restrictions concerning the activities of Orange stream related payment system by public authorities, local governments or administrations of payment systems; other circumstances that cannot be reasonably foreseen or prevented in advance and that prevent provision of the services of Orange stream. 

11. Intellectual property rights 

11.1. Orange stream website may contain links and pointers to other websites and resources. Such links do not constitute an endorsement by Orange stream of any third-party resources or their contents. Links do not imply that Orange stream is in any way affiliated or associated with third parties or is legally authorized to use any trademark, trade name, logo or copyright symbol displayed in or accessible through a link, or that any Linked websites are authorized to use any trademark, trade name, logo or copyright symbol of Orange stream. You should direct any concerns regarding any Linked website to such Linked website’s website administrator or webmaster. Orange stream does not represent or endorse the accuracy or reliability off, and expressly disclaims, any advice, opinion, statement, or other information displayed or distributed through any Linked website. You hereby acknowledge that reliance upon any opinion, advice, or information displayed on or otherwise available through any Linked website shall be at Your sole risk. 

11.2. You agree that the content of this website is an intellectual property of Orange stream and is protected by the laws on property rights, intellectual property rights and copyrights. Unapproved use of this content is forbidden and illegal. 

12. Termination of Terms 

12.1. The Agreement shall continue for as long as You have a Orange stream account. 

12.2. You can terminate these Terms of Use and close Your User Account at any time at Your sole discretion. 

12.3. Before closing Your User Account, all Your assets have to be withdrawn to external wallets. Once the User Account is closed in a normal regime and without violation of these Terms of Use, the User will have 10 (ten) business days from the date of submission of the User Account cancellation request to withdraw all funds from the User Account. In case if after the mentioned term expiry funds won’t be withdrawn, such funds will be irretrievably lost and will not be subject to recovery / refund / compensation to the User. 

12.4. In addition to cases specially stipulated by this User Agreement, Orange stream may unilaterally terminate this User Agreement at its discretion, with prior, at least 10 days before, notice to the User. 

12.5. Should you find the Services provided by Orange stream under these Terms and Conditions unsatisfactory, we encourage you to lodge a formal complaint and pursue resolution via communication with us. This Agreement is subject to Lithuanian law, and the exclusive jurisdiction for any disputes deriving from this Agreement shall lie with the Lithuanian courts. Negotiations can always take place if both parties agree to them. No one can be obliged to initiate them. The customer, on the other hand, he always has the right to decide for himself whether he prefers to pursue other remedies. 

12.6. However, before initiating any legal claim, we request that you endeavor to amicably resolve the dispute by contacting Orange stream directly at ___________. Orange stream cannot assume in advance that all disputes will be resolved by negotiation. If Orange stream is unable to resolve your claim within a period of 30 days upon receipt of your notification, the dispute will be submitted for resolution to the The Court of General Jurisdiction and Courts of Special Jurisdiction, under Lithuanian law.
